Illinois Registered Agent Requirements

Section 1-35 of the Illinois Limited Liability Company Act, 805 ILCS 180/1-35, obligates every LLC to continuously maintain a registered agent and registered office in the state. The requirement attaches the day your Articles of Organization are filed and never lapses while the company exists. Illinois pairs the statute with unusually concrete instructions on its own forms, which makes the rules easy to state precisely.

Who Qualifies

The registered agent must be one of two things:

• an individual who resides in Illinois, or
• a business entity authorized to transact business in Illinois and registered with the Secretary of State.

The state's forms add one bright-line prohibition: the LLC may not act as its own registered agent. A company needs a separate person or entity in the role, full stop.

The Identical-Office Rule

Illinois goes a step further than most states on addresses. The registered office must be maintained continuously in Illinois, a PO box alone is unacceptable, and the registered office address must be identical to the business office address of the registered agent. An agent cannot list one address for the state and work from another.

What the Agent Receives on Your Behalf

• Service of process: if the LLC is sued, the papers go to the registered agent first
• Official notices: correspondence from the Secretary of State about the company's standing
• Compliance-critical mail: documents where a missed delivery can mean a missed deadline

Because the agent's name and office sit in the public record, whoever holds the role also absorbs the walk-in process servers and the junk mail that a public address attracts.

If the Position Goes Vacant

An agent can resign, move away, or dissolve. When that happens, Illinois gives the LLC 60 days to appoint a replacement; blow through that window and a $100 penalty applies. Vacancies are not a paperwork technicality, either, since a company with no agent can be served in ways it never hears about.

Changing Your Illinois Registered Agent

The change is its own filing: the Statement of Change of Registered Agent and/or Registered Office, Form LLC-1.36/1.37, filed with the Department of Business Services, Limited Liability Division for $25. Note that the annual report cannot make this change for you; Form LLC-50.1 only verifies the agent already on record.
